These Terms of Use (“Terms”) constitute a legally binding agreement between you (“User”, “you”) and WiseFirm24 (“Company”, “we”, “us”) governing your access to and use of the WiseFirm24 platform located at wisefirm24.com and its associated services (collectively, the “Service”).

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you must not access or use the Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

1. Description of Service

WiseFirm24 is a B2B SaaS platform that provides organizations with AI-driven knowledge management, automated employee assessments, and secure learning tools. Features include but are not limited to: knowledge bases, AI-generated assessments, team management, an AI assistant, and analytics.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation.

2. Eligibility

You must be at least 16 years of age to use the Service. By using the Service, you represent and warrant that you meet this requirement and that your use complies with all applicable laws and regulations in your jurisdiction.

3. Accounts

3.1 Registration

To access most features, you must create an account. You agree to provide accurate, complete, and current information during registration and to keep your account information up to date.

3.2 Account Security

You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account at e.kudarauskas@gmail.com.

3.3 Organization Accounts

If you join through an organization, your account may be managed by an organization administrator. Administrators may view your activity, results, and profile within the organization workspace. If your access is revoked by an administrator, you may lose access to the Service and associated data.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of these Terms.
• Upload, transmit, or share content that is illegal, harmful, defamatory, obscene, or that infringes any third-party intellectual property rights.
• Attempt to gain unauthorized access to any part of the Service, other accounts, or systems connected to the Service.
• Interfere with or disrupt the integrity or performance of the Service or its infrastructure.
• Use automated tools (bots, scrapers, crawlers) to access the Service without prior written permission.
• Reverse engineer, decompile, or disassemble any part of the Service.
• Use the Service to send unsolicited communications or spam.
• Impersonate any person or entity, or falsely represent your affiliation with any person or entity.
• Use the Service to collect or harvest personal data about other users without their consent.
• Circumvent any access controls, rate limits, or security measures.

We reserve the right to suspend or terminate accounts that violate these rules, with or without notice.

5. Content

5.1 Your Content

You retain ownership of all content you upload, create, or submit to the Service (“User Content”). By submitting User Content, you grant us a limited, non-exclusive, royalty-free, worldwide license to host, store, process, and display your User Content solely as necessary to provide the Service to you.

5.2 Content Responsibility

You are solely responsible for your User Content. You represent and warrant that you own or have the necessary rights to upload your content and that it does not violate any applicable laws or third-party rights.

5.3 AI-Generated Content

The Service uses AI to generate assessments, summaries, and responses. AI-generated content is provided for informational purposes only and may not always be accurate. You are responsible for reviewing AI outputs before relying on them. We do not use your content to train AI models without your explicit consent.

5.4 Content Removal

We reserve the right to remove any User Content that violates these Terms or that we, in our sole discretion, deem inappropriate, without prior notice.

6. Intellectual Property

The Service, including its design, software, trademarks, logos, and all content created by us, is owned by WiseFirm24 and protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes in accordance with these Terms.

You may not copy, reproduce, distribute, modify, create derivative works, publicly display, or exploit any part of the Service without our prior written permission.

7. Subscription, Billing & Cancellation

7.1 Plans & Fees

Certain features of the Service require a paid subscription. Pricing and plan details are described on our pricing page. All fees are exclusive of taxes unless stated otherwise.

7.2 Billing

Subscriptions are billed on a recurring basis (monthly or annually) as selected. Payment is processed by our payment provider (Stripe). You authorize us to charge your payment method on each renewal date. All payments are non-refundable except as required by law or as expressly stated herein.

7.3 Cancellation

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. You will retain access to paid features until the period ends.

7.4 Changes to Pricing

We may change pricing at any time. We will give you at least 30 days' notice of any price increase before it takes effect on your account.

8. Third-Party Services

The Service integrates with third-party services (e.g. OpenAI, ElevenLabs, Supabase, Stripe). Your use of these integrations is also subject to the respective third-party terms and privacy policies. We are not responsible for the availability, accuracy, or practices of third-party services.

9. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of your information as described in the Privacy Policy.

10. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WISEFIRM24 AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION — ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless WiseFirm24 and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with your use of the Service, your User Content, or your violation of these Terms.

13. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service will immediately cease. Sections of these Terms that by their nature should survive termination shall survive, including intellectual property provisions, disclaimers, and limitations of liability.

14. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of Lithuania, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the competent courts of Vilnius, Lithuania.

If you are an EU consumer, you may also have the right to use the EU Online Dispute Resolution platform at ec.europa.eu/consumers/odr.

15. Changes to These Terms

We may update these Terms at any time. When we do, we will revise the “Last updated” date at the top of this page. For material changes, we will notify you via email or a prominent notice within the Service at least 14 days before the change takes effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.

16. Miscellaneous

• Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and WiseFirm24 regarding the Service.
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
• No Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
• Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights freely.
